Every investment carries risk. Smart investors don’t avoid it, they contain it. By setting up a legal entity like an SPV in Dubai, they can easily isolate their assets from risk. Furthermore, SPVs help fulfil specific purposes: they can be used to hold and manage cross-border assets, shares, patents, and even to raise funds.

Summary:

An SPV in Dubai is used by investors, family businesses and developers to hold assets, isolate risk, plan succession and raise funds. It can be set up in DIFC or DMCC, or in ADGM and RAK ICC elsewhere in the UAE. You need only a few basic documents, such as ID proofs, Articles of Association, a UBO declaration and a business plan. Nexus requirement was removed in 2026 so you no longer need a UAE or GCC connection to apply.

One interesting feature of an SPV is that it can have 100+ shareholders and still be just one entity. To find out more about the benefits and uses of SPV company in Dubai and the process to start one, read this blog. Along with that, we will also cover the cost, legal, and document requirements.

What is an SPV in Dubai?

SPV stands for special purpose vehicle Dubai. No, it is not a car to ride. Dubai SPV is legal structure, a form of entity, that can be established by foreigners and locals in Dubai for holding assets, investing, wealth succession planning. It provides them high legal clarity and credibility.

Important to note: SPVs are passive holding companies. That means they cannot engage in day-to-day trading activities within UAE or internationally. Neither can they issue invoices.

A case study: a global real estate company takes up a new building construction project on Sheikh Zayed Road. So, the parent company sets up an SPV in Dubai to manage the large infrastructure project. It will have its own separate balance sheet, financial obligations, and thus, risk. Any loss will not affect the parent company.

SPV company setup in Dubai is more relevant for founders operating across multiple countries to bring everything under single ownership.

Common uses of SPV company in Dubai

SPVs are versatile in nature and are often used by family offices, international investors, companies, and developers in Dubai. The reasons being tax-friendly policies, supportive government, and flexible English common law system.

Here is what an SPV is usually established for:

Intellectual property protection: A brand’s trademark and logo are held in an SPV, isolated from the operating business.

Risk isolation: A company runs a high-risk project through an SPV, so only the SPV’s assets are exposed if it fails.

Succession planning: A family holds its assets in one SPV and passes them on by transferring shares.

Investment holding: An investor can hold stakes in several companies through one SPV instead of a personal name.

Project financing: The cash flows, debts, and capital of a project can be held separately under an SPV. Used by developers and companies.

High-value asset ownership: SPVs can be used to hold valuable assets like yachts, aircraft, and vehicles.

Raising capital: You can pool together funds from shareholders into a dedicated structure. Simplifies governance and future exits.

Real estate investment: SPVs can invest in individual properties or entire portfolios in permitted areas of UAE.

Joint ventures: For strategic ventures, SPVs offer a transparent and structured way for partners to combine resources to accomplish a common goal such as co-development of a product.

Where can you set up an SPV in Dubai?

In Dubai, two free zones, DIFC and DMCC, offer SPV setup in UAE. Both are popular, and you can choose between them based on your business needs and budget.

SPV setup in DIFC (Dubai International Financial Centre)

DIFC is a leading global financial and investment hub. It offers a digital SPV setup that can be completed in as little as 3* days. A DIFC SPV in Dubai operates under English common law, which makes it especially attractive to international investors and stakeholders. If you are managing assets across borders, English law makes things easier to understand.

Please note: a DIFC SPV is not promoted as low-cost structure. The licence is only part of the cost. You also need to budget for:

Licence renewals

Compliance

A registered office address

Maintaining and filing records

Registering your UBO list

SPV setup in DMCC (Dubai Multi Commodities Centre)

Want to set up an SPV in Dubai without a physical office requirement? DMCC is a desirable choice. DMCC launched its SPV license in May 2025. Under DMCC’s regulations, an SPV does not need to appoint a company secretary, but it also cannot trade.

You can set up a DMCC SPV through one of its licensed registered agents. If you plan to run a head office and employ staff, then you need a Holding Company licence instead.

Other free zones offering SPV company formation UAE

In you are looking for options outside Dubai, here are the popular free zones to establish SPV:

SPV setup in Abu Dhabi Global Market (ADGM Abu Dhabi)

The ADGM SPV is specific to Abu Dhabi and, again, carries a strong international reputation. Setup is simple: there is no minimum capital requirement, and corporate documents need no attestation.

ADGM also allows companies to relocate and re-domicile from other jurisdictions, which makes continuance of operations easier. Here again, unless exempt, you need to appoint an ADGM-registered corporate service provider.

SPV setup in Ras Al Khaimah International Corporate Centre (RAK ICC)

Situated in Ras Al Khaimah, RAK ICC is UAE’s leading offshore registry where you can open an SPV, also called a Restricted Purpose Company (RPC). SPVs in Ras Al Khaimah can operate only for the purposes stated in their Memorandum of Association (MOA).

DIFC Prescribed Company Regulations 2026: new rules for SPVs in Dubai

DIFC announced new regulations for SPVs (Prescribed Companies, or PCs) on 24 July 2026 to make the regime more accessible and credible for investors. There are three major changes:

Qualifying criteria removed. Any person can now apply for a Prescribed Company, subject to the applicable requirements. Previously, a PC had to be majorly controlled by a GCC person or a DIFC entity or hold a GCC asset.
CSP required. Unless exempt, a PC must appoint a DIFC-registered corporate service provider (CSP) for ongoing administration and regulatory compliance, and to liaise with the DIFC Registrar of Companies. Existing non-exempt PCs have six months from 24 July 2026 to appoint one.
Strict scope: holding only. A PC can only hold shares, IP, investments, or property. It cannot employ staff or sponsor visas and is non-operational.

How to set up an SPV in Dubai step by step?

Starting an SPV in Dubai follows a structured process with these main 7 steps:

1. Discuss your SPV setup with experts

Understand your purpose first: is it holding assets, IP protection, or structuring wealth? An SPV is limited in scope to passive asset holding and structuring. It is always advisable to start with a consultation with Dubiz Business Setup. Our experts can help you decide which jurisdiction works best: DIFC, DMCC, ADGM or RAK ICC.

If you plan to offer services or trade, an SPV UAE may not be the right choice. A mainland LLC or a free zone company may work better.

2. Decide the corporate structure

This step covers your corporate structure and shareholders. How many shareholders and directors are you planning to have? Decide that.

Individual: A person can establish an SPV, for example someone looking to hold investments.

Corporate shareholder: An existing company looking to set up a project, centralise its ownership, or planning a non-operational division can set up an SPV.

3. Select the company name and get it registered

Next, reserve a trade name for the SPV with the authorities. Naming conventions matter, and our experts can help you with the filing.

4. Draft and prepare the legal documents

With your SPV license application, you will need to submit some basic documents, such as your MOA and AOA, a corporate business plan defining your purpose and activities, passport copies, and ID proof.

If you are multiple shareholders, you also need to define profit distribution, voting rights and governance rules.

5. Submit the SPV license application to the authority

Since applications are made through registered agents and corporate service providers, Dubiz Business Setup can help you file the application with your chosen free zone. The process also includes collecting approvals from the free zone authority, Securities and Commodities Authority – SCA (for managing funds), etc.

6. Receive approval, registration certificate, and licence

Once the free zone authority receives the application, it takes few days to process it completely. The authority may ask for additional documents and clarifications, and our experts follow up. Real-time status can be viewed on registry’s online portal. Once the green signal is received, your incorporation documents and SPV license in Dubai are issued.

7. Corporate banking setup

An SPV may need a corporate bank account for distributing dividends, managing cash flows, and receiving investment returns. In that case, choose a bank that offers multi-currency accounts and international payments. Banks assess your underlying activity and broader structure when you apply for an account.

Breakdown of Dubai SPV setup cost

All-in-one Dubai SPV setup in Dubai starts from USD 21,000* including registration, license, Pro, and other services. Treat that as a starting point, not a quote.

The government fee is only part of the bill. Plan for four layers:

Provider fees. A DIFC CSP or DMCC registered agent charges separately, and under the new DIFC rules you should budget for it and allow extra onboarding time.
Accounts and tax filings. A corporate tax registration and annual return, plus financial statements.
Banking. Bank onboarding for a passive entity can take longer than the licence itself.

Documents required for SPV registration in Dubai

Here is what investors need:

Completed application form

ID proof of shareholders and directors

Articles of Association

Board resolution approving the SPV

UBO declaration

Business plan

Office address proof

Any other documents requested

How does UAE tax apply to SPVs in Dubai?

UAE federal corporate tax applies at 9% on taxable income above AED 375,000. SPVs may qualify as a Qualifying Free Zone Person (QFZP) and pay 0% on qualifying income. Otherwise, 9% applies on non-qualifying income (Cabinet Decision No. 55 of 2023).

Key pointers:

Income from intellectual property rights may qualify for 0% tax.

Income from holding shares and securities, such as dividends, may also qualify if the shares are held for at least 12 months.

Income from immovable property, such as real estate, is often excluded, so do not expect 0% on it.

Please note: 0% is not automatic. There are conditions you must meet. You must show substance in the UAE and prepare audited reports, and your non-qualifying income must stay below 5% of total revenue or AED 5 million.

No VAT: Since SPV in Dubai do not engage in supplying taxable goods and services, they are generally not required to register for VAT.

Our tax advisor can confirm the tax position for you.

Essential legal compliances for SPVs in Dubai

Since SPVs are prone to misuse, the UAE law provides clear regulations for their setup and operation:

No nexus requirement: DIFC and DMCC have officially removed the nexus requirement for SPVs as of 2026. Investors do not need to demonstrate connection with UAE or GCC.

Corporate tax registration: Every SPV must register for corporate tax through the FTA’s EmaraTax portal, whether or not it qualifies for 0% and even if it has no income yet.

Annual renewals: The SPV license must be renewed every year.

Corporate tax filing: File online through EmaraTax within 9 months of the end of the financial year.

Registered office address: Must be maintained in almost all free zones including DIFC, RAK ICC, etc.

Corporate service provider: Non-exempt SPVs must appoint free zone approved Corporate Service Provider who provides signatory services and liaison with registry.

Pay 9% corporate tax on non-qualifying income: Payment is due within 9 months of the end of the relevant tax period.

Accounts and tax returns: Keep financial statements and file your corporate tax return on time. Audit reports are often requested by the registrar.

UBO register: File your ultimate beneficial owner list and keep it updated with the free zone authority.

Stay within purpose: Any trading or service income can put the SPV outside its licence scope.

In 2026, the rules changed in DIFC, DMCC and ADGM. If you read a guide online that still says you must be GCC-controlled to use a SPV, it may be outdated.
